Biography
Yemisi Awonuga doubles as the Managing Partner of Y AWONUGA LP and the Lead Consultant, for the Firm’s Mergers & Acquisitions Work Group, and the Projects & Natural Resources Work Group.
She holds a Master of Science (with distinction) in Energy Studies from the University of Dundee in Scotland and a Master of Laws in Commercial Law from Cardiff Law School in Wales. A seasoned legal practitioner, Yemisi is widely respected for her deep understanding of the legal and commercial foundations of Nigeria’s energy sector. She has built extensive experience advising on every aspect of the oil and gas value chain, including gas commercialization, project conceptualization, project development, project financing, and mergers & acquisitions.
Over the years, Yemisi has led numerous high profile and pioneering transactions, many of which were the first of their kind in Nigeria’s energy market. Clients rely on her ability to enhance project bankability through rigorous risk assessment, allocation and effective contractual mitigation strategies.
Her work has earned her consistent recognition from leading International legal directories. Chambers Global Guide and IFLR1000 describe her as a highly regarded lawyer and “Excellent” in her field. She is also listed in the IFLR1000 Women Leaders- an elite category reserved for the most prominent women lawyers worldwide – and in Who’s Who Legal, where she is profiled as a prominent name in the Nigerian energy sector.

Olufunke Fawehinmi
Biography
Olufunke Fawehinmi is a leading corporate commercial lawyer with over a decade experience garnered in M&A, corporate restructuring and business support to established and emerging businesses. She has with her eagle eye and keen attention to detail, been able to navigate transactions and assist many businesses, advising on relevant Nigerian regulatory framework.
Olufunke has worked with clients in various sectors of the economy including the financial services, financial and digital technology (fintech) sector, telecommunications, FMCG, manufacturing, etc., advising on diverse matters ranging from investments, divestment, business acquisitions and disposals to private equity and venture capital, local and cross-border M&A transactions, joint ventures and group reorganizations and competition law advisory. She has acted for leading corporates, private equity investors, and multinationals on high-profile matters, including: leading negotiations on behalf of Mavin Records Limited on the $5 million USD acquisition of its record label business by Kupanda Holdings, advising Pfizer on its $12 billion global divestment and spin-off of its Upjohn business, AfriInvest on its $25 million series B investment in 54 Gene Inc., and Yamaha Motor Ventures on its Series A funding of Max NG. She has also provided counsel on major financing transactions such as the $300 million Nigerian Diaspora Bond, and $100M medium-term financing of Engaged Resource Limited by Diamond Bank PLC.
Olufunke is currently a Legal Consultant, providing strategic advisory services and leading high-value corporate, M&A and regulatory transactions across sectors including energy, pharmaceuticals, retail, and tech. Earlier in her career, she held roles as a Legal Director, Corporate Practice at Olajide Oyewole LLP, where she headed deal teams and advised on cross-border acquisitions, regulatory compliance, insolvency, and capital reorganizations, Olaniwun Ajayi Lp, Hogan Lovells LLP, where she advised clients on high-stakes corporate law and financing transactions.
She hold a Master of Laws (LL.M.) from Durham University, Barrister-at-Law (B.L) from the Nigerian Law School, and an LL. B from the University of Ibadan. She has also undertaken professional training with the Nigerian Bar Association, the Governance Institute (UK), and the Chartered Institute of Management Consultants, and holds certifications in KYC/AML compliance and Tritek project management.
Recognized for her strategic thinking, negotiation acumen, and ability to manage complex stakeholder relationships, Olufunke continues to advise on transformative deals across Africa and beyond, bringing deep insight into regulatory frameworks, corporate financing, team leadership, bidding processes, commercial contracts, security arrangements, transaction agreements, stakeholder relationships and governance compliance.

Biography
Miracle Oluwafemi holds a Bachelor of Laws degree from Ajayi Crowther University. She was admitted to the Nigerian Bar in 2022 and is currently enhancing her expertise in the energy sector through postgraduate studies in Energy Law at the Centre for Petroleum, Energy, Economics and Law, University of Ibadan.
Her legal experience encompasses both contentious and non-contentious matters, with a particular emphasis on corporate commercial practice and specialised transaction advisory. Miracle has played an integral role in Public Private Partnerships and projects within the Nigerian power sector, providing advisory services on power infrastructure development in both transaction and corporate governance roles. These experiences have afforded her valuable practical knowledge of the complexities inherent in the energy sector, enabling her to contribute to infrastructure initiatives.
